1. Subject matter of the contract and scope

Primetrack Business is a B2B online shop of Primetrack AG, Nauenstrasse 71a, 4052 Basel, Switzerland. The online shop is accessible at shop.primetrack.ch.

These General Terms and Conditions (GTC) govern all business relationships between Primetrack AG (hereinafter "Primetrack") and its business customers.

Primetrack is aimed exclusively at companies (B2B). By using the shop, the customer accepts these GTC.

2. Offers and conclusion of contract

The offers in the online shop are subject to change and non-binding. Technical changes, errors and prior sale are reserved.

A contract is only concluded upon shipping confirmation or provision for collection.

Primetrack reserves the right to reject orders without giving reasons.

3. Cooperation with supply partners

Primetrack works with selected wholesalers, distribution partners and logistics service providers.

Individual products may be shipped directly to the customer by these partners.

However, unless expressly stated otherwise, the purchase contract is concluded exclusively between the customer and Primetrack AG.

Payment is made exclusively to Primetrack AG.

For the processing of the order, necessary order, delivery and contact data may be passed on to supply and logistics partners.

4. Order and delivery

Orders are placed via the online shop. Upon completion of the order, the customer undertakes to make payment.

Deliveries are made exclusively within Switzerland.

Primetrack is entitled to make partial deliveries. Deliveries may be carried out by partners.

Delivery times are non-binding. In the event of delays, there is no entitlement to compensation.

Risk passes to the customer upon handover to the carrier.

5. Prices

All prices are stated in Swiss francs (CHF).

Prices may be displayed net or gross depending on the customer configuration. The prices relevant for the customer, including value added tax (VAT), are bindingly displayed during the order process before completion of the order.

Shipping and additional costs are shown separately.

Price changes are reserved.

6. Payment

The payment methods offered in the shop apply.

For purchase on account, the individually agreed payment terms or those stored in the customer account apply. The applicable payment period is shown during the order process, in the offer or on the invoice.

In the event of late payment, Primetrack may charge default interest as well as reminder fees.

The goods remain the property of Primetrack AG until full payment.

7. Inspection of goods and defects

The customer is obliged to inspect the goods immediately upon receipt.

Defects must be reported in writing within 5 days.

Without timely notification, the goods are deemed approved.

8. Returns and warranty

Returns are only possible with the prior consent of Primetrack.

The warranty provisions of the respective manufacturers apply.

Primetrack assumes no further warranties.

9. Liability

Primetrack's liability is limited to gross negligence and intent.

Any liability for indirect damage, consequential damage or lost profit is excluded.

The maximum liability corresponds to the purchase price of the goods concerned.

10. Data protection

Primetrack processes personal data in accordance with Swiss data protection law.

11. Amendments to the GTC

Primetrack may amend these GTC at any time.

The version currently in force in the online shop applies.

12. Place of jurisdiction and law

Swiss law applies exclusively.

The place of jurisdiction is Basel, Switzerland.
